Bankers Face ESG Risk with Potential to Upend Deals

The rise in regulations covering everything from environmental, social, and governance (ESG) to data privacy and antitrust laws is a principal factor driving disagreements between parties in mergers and acquisitions, according to BRG’s M&A Disputes Report 2022.

Andrew Webb comments, “Deals don’t fall apart because of the ESG concerns”; rather, his “experience has been that the deal falls apart because unpicking the ESG causes the trust to evaporate between buyer and seller.”
