Lindsey Dowling



Lindsey Dowling is a CPA, author, and seasoned management consultant who has worked in a Big Four public accounting firm and within industry. She is well versed in corporate taxation and has specialized expertise in tax technical accounting and corporate life-cycle events, such as acquisitions, dispositions, reorganizations, and IPO readiness. She uses over twelve years of public and private tax accounting experience to provide strategic thinking and analytical problem solving. She has a record of helping to integrate the tax function into overall business planning processes and helping to address the client’s need to operate effectively with limited resources while supporting business strategy.

As a liaison and communicator with internal and external stakeholders, Ms. Dowling has played a key management role in enabling the tax function to present tax considerations of business decisions, proposals, bankruptcies, and mergers, promoting an awareness of tax technical matters and opportunities in the legislative environment. Her experience includes consulting services related to the application and interpretation of US federal income tax law with respect to consolidated groups, corporate bankruptcies and insolvencies, debt and restructuring regulations, tax-efficient legal entity structuring, and due diligence exercises.

Before joining BRG, Ms. Dowling served as a Managing Director for a tax technical boutique firm, specializing in advising private equity and strategic corporate firms in the M&A space. She has experience in conducting due diligence, having worked on over one hundred deals, including sell- and buy-side M&A, leveraged buyouts, and debt and equity financings. Additionally, she has advised on both stock and asset acquisitions, including purchase accounting and opening balance sheet financials; as well as purchase price adjustments, with an emphasis on IRC §382 analysis, providing both the buyer and seller—or in the instance of a bankruptcy filing, the company—on the value of their net operating losses. 

Ms. Dowling also acted as in-house Head of Tax for a leading multichannel retailer of apparel and hard goods with over $1.1 billion dollars in annual sales. During her time in that role, she oversaw preparation and review of quarterly and annual provision calculations and statutory filings, managed cash taxes, and analyzed and forecasted the impact of cash taxes from the perspectives of both cash flow and net working capital. She helped advocate for transitioning all income tax compliance in house, with annual savings of over $300,000; and led the design and implementation of a fully integrated software program, leveraging technology to standardize the provision and compliance process and supporting an efficient and effective work environment. She assisted with the company’s transition through a bankruptcy filing and successful emersion, as well as an acquisition by a strategic firm several years later. To that end, Lindsey has in-depth knowledge concerning both sides of a bankruptcy reorganization and subsequent merger. She is passionate about helping her clients create process efficiencies and streamline procedures from provision preparation to compliance, allowing for better time management, risk management, and overall quality of the underlying tax role, maximizing effectiveness of the tax function.
